MIL Multi-Services Inc.
SERVICE AGREEMENT
This Agreement (the "Agreement") is dated as of (the "Effective Date"), and is made by and between MIL Multi-Services, Inc., a Maryland limited liability company ("MIL"), and ("Client") with respect to certain services provided by MIL as described herein. The parties hereby agree to the following terms and conditions in connection with such services.
1. Services. MIL shall perform for Client the professional services specified in one or more Statements of Work and Rates (the "Services") is attached and incorporated into this Agreement. Changes to the scope of the Services shall be made only in a writing executed by authorized representatives of both parties. The foregoing notwithstanding, if MIL, at the request of Client, performs work that is not covered by a Statement of Work or that exceeds the scope of Services defined in the applicable Statement of Work, such work shall be deemed Services provided pursuant to this agreement for which Client shall compensate MIL. 2. Compensation. The parties agree that MIL will be compensated by Client for its fees as specified in the Statements of Work. Client shall pay the amounts payable to MIL hereunder at the time of service. The company reserves the right to discontinue services until payment is received. Any payment remaining unpaid for more than fifteen days of service shall accrue interest at a rate of one and one-half percent per month. INITIALS: ______
3. Term. This agreement shall govern all services provided by MIL in connection with the Services and any additional services related to the Services as agreed by the parties. Either party may terminate the Services by giving seven (7) days' prior written notice to the other. In the event of any such termination, MIL shall be compensated for any services provided prior the effective date of termination in accordance with Section 2. Any changes to the Term of this Agreement must be made in writing. INITIALS: _______
4. Holidays. Any services that are schedules for a day that is one of the following days: Memorial Day, Fourth of July, Labor Day, Thanksgiving Day, Christmas Day, New Years Day will automatically be cancelled and the Client will not be charged for that day of service and the services will be provided on the next regularly scheduled day.
5. Breakage/Damage/Missing Items. MIL staff takes great care when providing its services, but occasionally accidents happen. Client should inform MIL immediately, but no later than, twenty-four (24) hours from the date of breakage of any damage or any missing items. MIL recommends all valuables be placed away during the time services are provided.
6. Client Responsibility. We must be able to reach all areas to be cleaned. Please put away dishes, clothes, toys, leftover food, etc. before we arrive. We do not put things away to prevent loss. Please ensure that your house is well ventilated or air conditioned. To prevent injury or sickness of our employees please keep your home in the 70-72° range on the date of service. INITIALS: ______
7. Cancellation. All cancellation must be done twenty-four (24) hours prior to the scheduled cleaning time or Client will be charged a Thirty Five Dollar ($35.00) cancellation fee. INITIALS: ______
8. Inclement Weather. If inclement weather occurs and your scheduled cleaning cannot take place MIL Multi-Services, Inc. will contact you to re-schedule your cleaning for the following available date.
9. Non-solicitation of Employees. Client will not either directly or indirectly (i) solicit, entice, or induce any employee, subcontractor or agent of MIL who has been involved in the provision of Services under this Agreement to leave MIL during the term of this Agreement or during the one-year period thereafter; or (ii) hire, employ, or engage the services of (other than under the terms of this Agreement) any employee, subcontractor or agent of MIL who has been involved in the provision of Services under this Agreement during the term of this Agreement or during the one-year period thereafter. 10. Survival and Succession. This agreement shall survive the completion or termination of the Services and any related services provided by MIL. Further, this Agreement, in its entirety, shall inure to the benefit of and be binding on the successors and assigns of the Client and MIL.
11. Severability. The various provisions and sub-provisions of this Agreement are severable and if any provision or sub-provision or part thereof is held to be unenforceable by any court of competent jurisdiction, then such enforceability shall not affect the validity or enforceability of the remaining provisions or sub-provisions or parts thereof in this Agreement.
12. Entire Agreement/Governing Law. This Agreement (including attached Statements of Work) constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, oral and written, and may not be modified or amended except in writing signed by both parties. The laws of the State of Maryland, excluding that body of law controlling conflicts of law, will govern all disputes arising out of or relating to this Agreement.
13. Notices. Any notices under this Agreement will be sent by certified or registered mail, return receipt requested, or by facsimile (provided that the sender received electronic confirmation of receipt by recipient) to the address specified below or such other address as the party specifies in writing. Such notice will be effective upon being sent as specified in this Section.
